M., ALL THAT G-ROUND AND PREMISES situate in Baltimore City, Md., and described as Lot Numbered Eighteen 18) and parts of Lots Numbered Seventeen (17) and Nineteen (19), in Block Numbered Thirty-five (35) as shown on Plat entitled "Plat of Resub-division of Blocks 31 to 35 and 38 Guilford," filed among the Land Records of Baltimore County in Plat Book W P. This property is sold subject to the legal operation and effect of a first mortgage from Mary Hyatt Smith and W. Newton Smith, her husband, to Benjamin M. ARTICLE I 1. The inhabitants of Baltimore County, State of Maryland, are a corporation by the name of "Baltimore County, State of Maryland," and by that name shall have perpetual succession; may sue and be sued, may purchase and hold real, personal and mixed property and dispose of the same for the benefit of said County, as herein provided, and may have and use a common seal, which may be altered at pleasure, and shall have all other powers specified by the Constitution of the State of Maryland and the amendments thereof, the laws of said State and by this Charter, as well as such other and further powers as are necessarily implied.
These payments shall be made from the funds of the County upon the adjournment of the Council. BEGINNING for the same in the centre of Sulphur Spring Road at the end of the first line of the parcel of land described in a deed from Sarah Dorsey to Samuel E. Its location and surroundings are ideal, being convenient to stores, churches and schools.

ARTICLE II. 1. The law making powers of said County shall be vested in an elective legislative body, which shall be known as "The County Council of Baltimore County, State of Maryland," said County Council shall consist of fifteen members, one from each district of said County and living in the district from which he is elected by the duly qualified voters of said district as soon as is practicable. Said members shall be elected for a term of three years from the date of their election. Said Council shall at its first meeting by a majority vote elect one of its members to preside at the meetings of said Council and he shall hold such position as presiding officer of the Council, and shall be known as the President of the County Council of Baltimore County, for the term for which he is elected a member thereof, unless a change as to the presiding officer is made by the vote of said Council before the end of his term. Said presiding officer shall receive no compensation other than as a member of said Council.
Said Council shall hold its first meeting without further notice than this provision, on the thirty-fifth day after the final adoption of this Charter, at eleven o'clock A. M., at the Court House, in Towson, in said County. Should no election be held on that day, then said Council shall adjourn to the next day at the same place and time and so from day to day until said officer is elected. Should any of the days so set for such meeting fall on Sunday or any public holiday, then the meeting shall be held on the day next succeeding said Sunday or holiday at the same place and time. Said member so elected shall preside at the meetings of said Council, and shall call such meetings as by the terms of this Charter are provided for. In his absence from such meetings, any member of the Council may by a majority vote of those present be elected to preside at the meeting. Said presiding officer, and in the event of his disability or absence, the member of the Council elected in his place, may in his discretion, call a meeting or meetings of said Council for the purpose of passing orders or meeting emergencies that may arise.
Provided, that should it so happen that there is no election held of members of said Council at the time of the final adoption of this Charter, then the said meeting of said Council shall be held on the thirty-fifth day after they are elected, at the place and hour hereinbefore named in this Section, due regard being had as hereinbefore provided to the falling of that day on a Sunday or any public holiday, and the proceedings of said Council shall be as has hereinbefore beeri provided in this Section in the event of said Council being elected at the same election at which this Charter is finally adopted.
Provided, also, that after they shall be assembled in consequence of the first election, they shall be divided by lot equally into three classes. Those falling into the first class shall hold office only for one year, those of the second class for two years, and those of the third class for three years, so that one-third may be chosen every year.
If vacancies happen by resignation or otherwise, the unexpired term shall be filled at the next succeeding General or Congressional Election, in accordance with the law in such cases made and provided.
2. No political affiliations or indications thereof of nominees or candidates for election as members of the County Council shall be placed on the ballot. Nominations for such membership may be made by petition to the Board of Election Supervisors, containing ten per cent, of the registered voters of the Election district in which the nomination is sought, and members of the County Council are to be voted for in the district from which they are nominated and in which they reside.
3. At such first meeting of said Council, or as soon thereafter as is practicable, a County Manager shall also be elected by a majority vote of the members of said Council, whose duties are hereinafter more specifically prescribed.
The person so elected shall not be a member of said Council and his compensation shall be five thousand dollars a year, to be paid to him as long as he performs the duties of County Manager, by the Treasurer of said County, or the official who is in charge of the funds of said County, in equal instalments at the end of each month. The said Council shall have the power to increase said compensation, if it is found to be expedient to do so to six thousand and five hundred dollars a year, payable in instalments, as has been provided respecting -the original compensation. In the event of his disability or inability to perform such duties, which is to be determined by a majority vote of all the members of said Council, they shall be performed by some person to be elected by said Council, and while performing such duties he shall receive the salary which said County Manager would otherwise receive, and shall have all the powers and responsibilities of said County Manager.
Any meeting, except the meeting called as provided in Section IV. of this Article shall be considered ' a continuous meeting of the original one called, adjourning as a recess from time to time until its special purpose is accomplished.
4. For the purpose of enacting legislation said Council shall not sit more than one month in each year and the month during which it shall sit shall be the month of December in each year, the first meeting to be held on the first day of said month, unless it falls on a Sunday or public holiday, in which event it shall be held on the next day, and thereafter on such days as the Council shall determine.
For actual and continuous attendance at any meeting during its session, each member shall receive the sum of five dollars ($5.00) and traveling expenses from his residence to the place of meeting and return to his residence.

5. Until the election of the said County Manager ' and his entering upon the duties of his office, the Board of County Commissioners then in office shall continue to perform its duties as managers of the said Baltimore County at the same compensation, to be paid from the County funds that they may be receiving as such County Commissioners when they assume the duties of such managers.
Such duties shall, however, be of the character which were incident to their duties as County Commssioners, and any appointments to office or employment shall be subject to the concurrence of the Council when elected to be acted upon at a meeting of the Council called by the presiding officer for that purpose, upon the request in writing of any five members of said Council or of his own motion.
The right of removal from office by the County Council for good cause shown in the judgment of said Cornell, of said presiding officer, County Manager, or the heads of any of the three departments named in this Charter, upon a vote of two-thirds of the members of said Council, is expressly reserved to said Council. Upon such removal the same proceedings shall be taken to fill the vacancy that were taken originally to select such officers.
ARTICLE III 1. The said "Baltimore County," as incorporated by this Charter, through the medium of said elective legislative body, known as "The County Council of Baltimore County, State of Maryland," shall have the following enumerated express powers:
(A) Local Legislation To enact local laws for such county, including the power to repeal or amend local laws thereof enacted by the General Assembly upon the matters covered by the express powers in this article granted; to provide for the enforcement of all ordinances, resolutions, by-laws and regulations adopted under the authority of this Article by fines, penalties and imprisonment, enforceable according to lav/ as may be prescribed, but no such fine or penalty shall exceed $100.00 for any offense or imprisonment for more than six months.
(B) County Property and Fran, chises To provide for the protection of county property; to provide for the acquisition and condemnation of property required for public purposes in the county; to dispose of any real or leasehold property belonging to the county, provided the same is no ;on-ger needed for public use, and to grant any franchise or right to use the same, or any right or franchise in relation to any highway, street, road, lanes, alley or bridge, for a period not longer than twenty-five years, and then only upon such terms and compensation as said corporation may deem proper, and after such disposition or grant shall have been advertised once a week for three successive weeks in one or more newspapers of general circulation published in said county, stating the terms thereof and the compensation to be received therefor, and giving opportunity for objections thereto.
(C) County Institutions To erect, establish, maintain and control hospitals, almshouses, pest houses, or other similar institutions within such county, and make all regulations for the government and conduct of the same; to establish, maintain, regulate and control county jails, and county houses of correction or detention and reformatories, and to regulate all persons confined therein; to make proper provision for female and juvenile offenders.
(D) Advertising- and Printing To provide for county advertising, printing and publishing, including that of all ordinances, by-laws or resolutions adopted by the County Council and of annual statements of expenses of the county government. (E) Audits and Claims To audit the accounts of all county officers, assisting the State Auditor or other State officer clothed with authority in the performance of his duty; to provide for proof of all claims against the county before their payment.
(F) Contracts and Bonds To provide for competitive bidding for any county work and the making and awarding of contracts requiring bonds whenever proper.
(G-) Drainage To provide, as far as necessary, for the draining of swamp and lowlands. (H) Election Districts and Precincts To arrange and create election districts and precincts.
(I) Courts and Records To provide for recording, indexing and keeping indexed all records in the office of the Clerk of the Court, Register of Wills and of the records of the Commssioners and County Council to the extent that such matters are not provided for by general law; to provide for designating Justices of the Peace who may constitute a county court, the keeping of its records, and to fix the compensation of all Judges thereof, and all officials connected therewith, and to require an accounting to the county for all fees collected in connection therewith, and to fix official bonds and regulate fees of the remaining Justices in the county.
(K) Health and Nuisances To prevent, abate and remove nuisances; to prevent the introduction of contagious diseases into such county; to regulate the places of manufacturing soap and candles and fertilizers, slaughter houses, packing houses, canneries, factories, workshops, mines, manufacturing plants, and any and all places where offensive trades may be carried on, or which may involve or give rise to unsanitary conditions or conditions detrimental to health.
Nothing in this Article or Section contained shall be construed to affect in any mnnner any of the powers and duties of the State Board of Health, or any Public General Laws of the State relating to the subject of health. (L) Highways, Bridges and Streets To provide for grading, shelling, graveling, paving and curbing, or for re-grading, reshelling, regraveling, re-paving, r curbing, and repairing any street, road, lane, alley, footway, bridge, culvert, highway or public place witl in said county, or any part thereof, n w or hereafter condemned, ceded, op ned, widened, extended or straighten d as public property; and for assessing the cost of any such work upon the .assessable basis of the county; to compel by fine or penalty the owner or possessor of any lot to grade, regrade, pave, repctve, or rep
(N) Fish and Game
To pass local fish and game laws.
(0) Fences To regulate the making and keeping secure of fences and provide for the procedure to enforce the rights of the parties, and a lien for repairs made by an owner not in default. (P) Assessments, Levy and Coition of Taxes To direct the class or sub-class of improvements on land and personal property, which shall be made subject to the county tax levy, and to provide for the levy thereupon and upon the value of land in accordance with Article 15 of the Declaration of Rights of the Constitution of Maryland as amended, of any sum which may be necessary to pay and discharge the principal and interest of any loan which may heretofore have been obtained, or which may hereafter be obtained by such county, according to law, and to create a sinking fund to meet the liabilities thus incurred, and levy upon the property so subject to taxation from time to time such sums as may be necessary to provide therefor; as well as to collect from such property so subject to the levy such sums as may be necessary for the support and maintenance of the county government.
To provide for the prompt collection of all taxes due the county, and for the sale of real estate, as well as leasehold and personal property, for the payment of the same.
To rectify errors in the assessment of property; to provide for the reduction or abatement of assessments improperly made, and for the reimbursement of moneys paid in consequence of such errors.
(Q) Bonds or Evidences of Intebt-edness
To provide for the borrowing, on the faith and credit of the county, and for the corporate uses of the county, of any sum or sums of money not exceeding in the aggregate with any outstanding bonds seven per centum upon the assessable basis of such county, and to issue bonds or other evidences of indebtedness for the same, in such sums and payable at such times as may be. prescribed; provided that any bond issue or borrowing of money in any one year in excess of one-fourth of one per cent, of the assessable basis shall be submitted to the voters of the county for approval under regulations to be prescribed.
(R) County Officers
To provide for the appointment and removal of all county officers except those whose appointment or election is provided for by the Constitution or Public General Law, and to establish a merit system, if deemed desirable, in connection with the appointment of all county officials and employees not elected or appointed under the Constitution and the Public General Laws; to fix the qualifications and terms of office of such county executive authority as may be established and to fix its compensation.
(S) Protection of County Credit
To prevent the credit of the county in any mEmner being siven or loaned to or in aid of any individual, association or ¦ corporaton. (T) Amendment of County Charter
To pass any ordinance facilitating amendment of the County Charter by vote of the electors of the County and agreeable to Article XIA of the Constitution.
The foregoing or other enumeration of powers in this Article shall not be held to limit the power of the County Council, in addition thereto, to pass all ordinances, resolutions or by-laws, not inconsistent with the provisions of this Article or the laws of the State, as may be proper in executing and enfqrcing any of the powers enumerated in this Section or elsewhere in this Article, as well as such ordinances as may be deemed expedient in maintaining the peace, good government, health and welfare of the County.
Provided, that the powers herein granted shall only be exercised to the extent that the same are not provided for by Public General Law; provided, however, that no power to legislate shall be given with reference to licensing, regulating, prohibiting or submitting to local option, the manufacture or sale of malt or spirituous liquors.
Any judicial declaration of the invalidity or unconstitutionality of any clause or power herein set forth shall not be construed to declare invalid any other part of this Article or of this Article as a whole.

A County Manager as hereinbefore provided shall direct the administration of the affairs of the County, which, under the general supervision and direction of said County Manager, shall be committed to three Departments, as follows:
Department of Public Service, which shall have charge of the following sub-divisions.
1. Highways.
2. Bridges.
3. Sewerage.
4. Lights.
5. Repairs to Public Buildings.
Department of Finance
1. Licenses.
2. Purchasing.
3. Receipts and Disbursements.
4. Taxes.
5. County Attorney. Department of Public Safety
1. Police.
2. Fire.
3. Constable.
4. Health.
5. General Welfare Work.
2. The heads of each one of said Departments shall be nominated by the County Manager, subject to confirmation by the County Council for a term of four years, provided the appointments first so made shall serve for two, three and four years, respectively, to be determined by lot. Any vacancy in the office of any of the three shall be filled for the unexpired term by election by said Council, nominations having been first made by the County Manager or any one holding that position.
Said heads of said three departments to receive respectively a salary of $3,500.00 a year, subject to an increase to $5,000.00 by vote of the County Council, if it shall be deemed necessary and advisable.
Said County Manager and such other officers as the said County Council may require to do so, shall give bond in such sum of money and under such conditions as the County Council may require, the costs of such bonds to be paid from the County funds.
The said County Manager and the heads of said three Departments shall devote their entire time to the duties of their office.
3. It shall be the duty of said Council to elect, as soon as is practicable, the heads of said different departments and to determine, as hereinbefore provided, for what length of time they shall respectively hold office and from time to time to fill vacancies that may occur.
4. In addition to the provision hereinbefore made, respecting the auditing of the accounts of County officers, the said County Manager may, with the consent of the County Council, employ a certified public accountant to make such audit or audits and may require such audits to be made as frequently as said Council may deem expedient.
5. No member of the County Council shall be chosen as County Manager, or shall act as such.
6. Any person, firm or corporation may have the right of appeal from any decision of the heads of any one of said three departments to the Circuit Court for Baltimore County, in the same manner that appeals might have been taken to said Court from decis ions of the County Comssisioners, at ?•ho time of the adoption of this Char ter.
7. No member ot" said Council, and no official connecLcl with the admin istration of the affairs of said Coun ty shall be pecuniarily interested in any contract, job, work or service for said County, other than their service as members of said County Council. Any member of said Council, or other official, as above mentioned, shall be so interested shall forthwith forfeit his office, and any such contract, job, work or service in which any member or other such official may be interested may be declared void by said Council.
8. Said corporation acting by its County Council shall have the right in addition to all the powers hereinbefore granted, from time to time, as may be deemed expedient, to make all the provisions necessary by resolutions or orders to carry out the provisions of the foregoing Charter.

NOTICE TO CREDITORS.
ARTICLE IV.
1. In case of vacancy in the office of the presiding officer by death, resignation or permanent disqualification, or for any other cause, the member of said Council who may have been selected to take his place in such circumstances or upon the happening of a vacancy from any cause in said office, shall succeed to the duties of said officer in all particulars until a successor to said presiding officer is elected. And it shall be the duty of said County Council at all times to provide that some member of its body shall have been selected in readiness should occasion require to assume and discharge the duties of said officer until his successor is elected.
2. It shall be included in the duties of said County Manager and of any one filling his place, to see that the laws, ordinances, resolutions and all matters relating to the administration and welfare of said Baltimore County are observed and faithfully executed, and he shall, as soon as practicable after the first day of January in each year, submit to the said County Council a report of the general state of the County with an accurate account of the money received and expended during the previous year. Said report shall be published once in two newspapers published in said County for the information of the inhabitants of said County. Ha t'hall have general supervision over all departments conducting and responsible for the welfare of the said County and its interests. He shall have power to call for reports from time to time either orally or in writing and all of said departments are required by this Charter promptly and fully to make such reports as said County Manager or said Council may cill for and in the manner called for. It shall further be his duty to see that each of said departments is efficiently conducted and that the duties of said department are promptly performed.
